Smith, Gambrell & Russell is an international legal practice carried on by Smith, Gambrell & Russell, LLP (a registered limited liability partnership organised and existing under the laws of the State of Georgia, United States of America, whose registered office is at 1105 W. Peachtree Street, N.E., Atlanta, GA 30309, United States of America) in the United States, with offices across the United States (SGR US), and its affiliated practice, Smith, Gambrell & Russell International, LLP, a registered limited liability partnership organised and existing under the laws of the State of Delaware, United States of America, whose registered office is at 160 Greentree Drive, Suite 101, Dover, Kent County, Delaware 19904 (SGR UK).

United Kingdom Regulatory Notices

In the United Kingdom, “Smith, Gambrell & Russell” is a trading name for Smith, Gambrell & Russell International, LLP (SGR UK) and authorised and regulated by the Solicitors Regulation Authority (SRA ID 634120) whose rules can be accessed at http://sra.org.uk/rules. SGR UK is a subsidiary of SGR US. SGR US and SGR UK work together as a closely integrated international network but are separately constituted and separately regulated legal entities which provide legal and other client services in accordance with the relevant laws of the jurisdictions in which they respectively operate.

Regulation

SGR UK is authorised and regulated by the Solicitors Regulation Authority (SRA ID 634120) with practising addresses at:

  • 4 Lombard Street, London EC3V 9HD; and
  • The Gallery, Sunnyside View, Stockbridge Road, Kings Somborne, Hampshire SO20 6PH.

SGR US attorneys are subject to bar rules in the jurisdictions where SGR US practices.

Professional Indemnity Insurance

The Provision of Services Regulations 2009 require us to notify details of the insurers who provide SGR UK, its partners, staff and connected entities with professional liability insurance cover that SGR UK, as a firm of solicitors practising in England and Wales, is obliged to hold by the Solicitors Regulation Authority.

SGR UK’s qualifying insurers are Lloyd’s Syndicate CNR 2088 (China Re) whose address is 6th Floor, Bury House, 31 Bury Street, London EC3A 5AR. This insurance covers SGR UK’s practice in England and Wales and extends to acts or omissions wherever in the world they may occur.

Solicitors Compensation Fund

The Solicitors Compensation Fund Rules 2011 provide for the Law Society to establish and maintain a fund for compensation claims. Grants are made from the fund at the discretion of the Solicitors Regulation Authority.

Data Protection

SGR UK is a data controller registered with the UK Information Commissioner (registration number ZA377800). We shall process any personal information you provide to us or which we obtain in connection with providing our services to you in accordance with our obligations under applicable data protection legislation, including the General Data Protection Regulation 2016/679 (GDPR), which is a form of European data protection legislation in force from 25 May 2018, other relevant legislation and our data protection registration.

Anti-money laundering

In order to comply with applicable anti-money laundering legislation we are required to undertake detailed client due diligence measures and ongoing monitoring for both new and existing clients. This means that when we first receive instructions from a client, we are required to identify our client verify their identity on the basis of documents, data or information. We may also be required to take similar steps in respect of any beneficial owner of the client.

Accordingly, we ask clients to provide us with any verification information that we request. If such information is not provided within a reasonable time identity or if we suspect that the client or any other party connected with such client or with the matter is involved in any activities prescribed by any relevant law we may terminate the provision of any services.

Anti-corruption

SGR UK is committed to preventing bribery and corruption and have in place policies designed to prevent our staff and associated persons such as agents and contractors from engaging in any activity which would constitute an offence under anti-corruption laws worldwide. These policies include the carrying out of appropriate due diligence when required and the making and keeping of records in relation to gifts and hospitality received and given.

Financial Conduct Authority (FCA)

SGR UK is not authorised by the FCA. SGR UK is authorised and regulated by the SRA, a designated body for the purposes of the Financial Services and Markers Act 2000 (FSMA). Firms may carry out certain regulated activities without being authorised by the FCA, provided a designated body makes rules setting out the scope of activities which may be undertaken.  While we may provide advice to clients in relation to a matter which involves or relates to an investment, we are only able to provide such advice on a limited basis where an exemption under FSMA applies.
