Terry Ferraro Schwartz is a Partner in the Corporate Practice of Smith, Gambrell & Russell, LLP.
Ms. Schwartz’s practice is primarily devoted to securities law, bank regulatory matters, corporate governance matters, Sarbanes-Oxley Act compliance and general corporate law representation of the Firm’s clients whose securities are publicly traded. She also has experience in mergers and acquisitions.
Ms. Schwartz has extensive experience in initial and follow-on public and private offerings of securities, going private transactions, mergers and acquisitions and routine securities reporting and compliance matters. She has represented public company clients in a number of different industries, including automotive sales and finance, banking, gaming, health information contract management services, medical technology devices, retail floor coverings, retail furniture/home furnishings, satellite communications equipment, school bus manufacturing, software technology for the retail and hospitality industries, steel manufacturing, trucking and transportation and wireless telecommunications.
A native of Savannah, Georgia, Ms. Schwartz received her B.S. degree, summa cum laude, in Criminal Justice from Armstrong Atlantic State University in 1978. She earned her J.D. degree, magna cum laude, from the University of Georgia in 1981. During law school, she was a member of the Order of the Coif and served on the Editorial Board of the Georgia Law Review. She joined Smith, Gambrell & Russell, LLP in 1981. Ms. Schwartz is a member of the State Bar of Georgia.
