About Angela
Angela K. Roberts concentrates her practice on a broad range of employee benefits and executive compensation matters. She serves as a trusted advisor to employers and plan sponsors, working as an extension of their benefits and human resources teams to provide practical, business-focused counsel on the design, administration, governance, and compliance of their employee benefit and compensation arrangements. Angela also has extensive experience advising on the employee benefits and executive compensation aspects of mergers, acquisitions, divestitures, and other corporate transactions, including post-closing integration matters.
Her representative experience includes:
- Designing, drafting, and implementing plan documents and administrative procedures for a variety of employee benefit plans, including qualified and non-qualified retirement plans and health and welfare plans;
- Assisting clients with plan service provider transitions, including the review and negotiation of service agreements;
- Advising plan fiduciaries on the fiduciary responsibility provisions of ERISA and prohibited transaction rules;
- Conducting plan compliance reviews and advising on corrective actions, including preparing filings under Internal Revenue Service and Department of Labor correction programs;
- Assisting plan sponsors and fiduciaries with Internal Revenue Service and Department of Labor audits, investigations, and inquiries, including developing response strategies, preparing submissions, negotiating corrective actions, and resolving matters through settlement agreements;
- Counseling plan sponsors regarding the privacy and security requirements under HIPAA, including drafting required policies and procedures, preparing notices, providing HIPAA-mandated training, and negotiating business associate agreements;
- Advising employers regarding all facets of Affordable Care Act compliance, including employer shared responsibility provisions, reporting requirements, and group health plan mandates; and
- Advising clients on the employee benefits aspects of corporate transactions, including analysis of liabilities and compliance concerns, negotiating transaction documents, and post-closing integration and harmonization of employee benefit and compensation arrangements.
