These representations for both private and public buyers and sellers have taken the form of stock acquisitions, asset acquisitions, mergers, recapitalizations, leveraged buy-outs and other sophisticated forms for companies in a variety of industries, including software and technology, communications, packaging and manufacturing and financial services and banking.
Bob, recognized as the 2018 Atlanta “Lawyer of the Year” in Securities/Capital Markets, also has extensive experience in securities matters and capital markets, including public offerings and private placements of debt and equity securities, venture capital transactions, IPOs, secondary offerings of common and preferred securities, forming investment funds and a variety of other corporate financings. He regularly advises public companies regarding their disclosure and other reporting obligations and other compliance matters with the SEC and stock exchange rules. As the long-serving Chairman of the Securities Committee of the Business Law Section of the State Bar of Georgia, Bob has authored a Guide to Registration Exemptions for Capital Raising and routinely organizes and moderates or speaks at securities law seminars.
